This Business Terms of Service ("Agreement") is a legally binding contract between Imprizza, doing business as QikChek ("we," "us," or "our"), and the business entity or individual accepting this Agreement ("Customer," "you," or "your").

This Agreement governs your access to and use of the QikChek API, software, Free Gate features, and compliance dashboard (collectively, the "Service"). By creating a billing account or integrating our Service into your platform, you represent that you have the authority to bind your organization to these terms.

We grant you a limited, non-exclusive, non-transferable, and revocable license to integrate and use the QikChek Service—including paid verification APIs and free routing tools—on your websites or applications ("Customer Platforms") solely for the purpose of verifying the age of your end-users.

You may not resell, sub-license, or white-label the Service to third parties unless explicitly authorized by us in a separate enterprise agreement.

a. Free Gate and Unpaid Services: Access to our "Free Gate" feature or any other unpaid tier is provided free of charge. However, your use of these free tools remains fully subject to this entire Agreement, including all data privacy rules, compliance responsibilities, and disclaimers of liability.

b. Free Trial and Automatic Billing: Your paid account begins with a 7-day free trial that includes an allotment of 100 verifications. If you exceed the 100 verification limit before the 7-day period expires, your trial will end immediately, and your payment method on file will be automatically charged for your chosen monthly subscription plan to ensure uninterrupted service.

c. Monthly Subscriptions: Paid tiers of QikChek are billed on a recurring monthly cycle. You must maintain a valid payment method on file. If a payment fails, we will attempt to notify you and retry the charge. We reserve the right to suspend API access if an account becomes past due.

d. Cancellation: You may cancel your subscription at any time through your billing dashboard. Cancellation will prevent any future rebilling, and you will retain access to the paid Service until the end of your current paid billing cycle.

e. No Refunds: ALL CHARGES ARE STRICTLY NON-REFUNDABLE. We do not provide refunds or credits for partially used billing periods, unused verifications, or immediate billing triggers resulting from exceeding trial limits.

a. We Provide the Tool, You Provide the Policy: Whether you are utilizing the Free Gate routing or the paid SmartChek engine, QikChek provides the software to perform identity and age estimations. However, you are solely responsible for configuring the Service's geographic routing rules, strictness levels, and enforcement policies.

b. The Burden of the Law: Digital compliance laws change rapidly. While we strive to adapt our tools as quickly as possible to meet new regulatory standards, the ultimate responsibility rests entirely on your business. You must know, understand, and comply with the specific local, state, federal, or international laws applicable to your business operations and your users.

c. Not Legal Counsel: Nothing provided by QikChek, including documentation, default configurations, or support communications, constitutes legal advice. We do not guarantee that your specific implementation of the Service will shield you from regulatory liability.

a. Controller and Processor: For the purposes of privacy laws (such as GDPR and CCPA), you are the "Data Controller" of your end-users' data, and Imprizza is the "Data Processor."

b. Zero Retention: QikChek is a zero-retention service. We process biometric and identity document data in real-time solely to render a verification decision. We do not store, log, or persist user identification documents, facial images, or biometric templates after the verification session concludes. You agree not to attempt to use the Service to build persistent identity profiles.

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code or underlying algorithms of the SmartChek engine or Free Gate logic.
  • Artificially inflate, bypass, or manipulate the verification tracking metrics.
  • Use the Service to verify users for illegal services, dark-web marketplaces, or content prohibited by our acceptable use policies.
  • Subject the API to malicious load testing, penetration testing, or excessive request volumes without prior written consent.

As stated in the billing terms, you may cancel your subscription at any time to prevent future billing. We may suspend or terminate your access immediately, without refund, if we suspect fraud, illegal activity, a breach of this Agreement, or if your implementation poses a security risk to our infrastructure.

THE SERVICE, INCLUDING BOTH THE FREE GATE AND PAID APIS, IS PROVIDED "AS IS" AND "AS AVAILABLE." IMPRIZZA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, COMPLETELY ERROR-FREE, OR IMMUNE TO SOPHISTICATED FRAUD ATTEMPTS OR BYPASS TECHNIQUES BY END-USERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPRIZZA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR REGULATORY FINES IMPOSED ON YOUR BUSINESS.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PRECEDING TWELVE (12) MONTHS, UP TO A STRICT MAXIMUM LIMIT OF ONE HUNDRED US DOLLARS ($100.00).

You agree to defend, indemnify, and hold harmless Imprizza, its officers, and employees from and against any claims, liabilities, damages, and regulatory fines arising from (a) your failure to configure the Service in compliance with applicable laws, (b) your breach of this Agreement, or (c) disputes between you and your end-users.

a. Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach thereof shall be settled by binding arbitration administered in the State of Nevada. YOU EXPLICITLY WAIVE YOUR RIGHT TO SUE IN COURT OR HAVE A JURY TRIAL.

b. No Class Actions: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, and you waive the right to participate as a class representative or class member in any class action lawsuit or class-wide arbitration.

c. Governing Law: This Agreement shall be governed by the laws of the State of Nevada, excluding its conflict of law principles.
